AutoBridge Terms of Service

Draft — under legal review. These terms describe how AutoBridge works today and are not yet final.

These Terms of Service are the agreement between you and AutoBridge PLC. By creating an account, clicking “I Agree and Accept,” completing electronic verification, or using AutoBridge, you accept these terms. Please read them carefully before using the platform.

1. What AutoBridge is

AutoBridge is a vehicle marketplace and transaction-management platform. It connects buyers with dealers, brokers, private sellers, financing providers, insurers and other authorized partners and provides tools for managing vehicle transactions.

AutoBridge does not itself own, inspect, guarantee, or sell vehicles listed by users unless expressly stated otherwise. A vehicle sale is generally a transaction between the buyer and seller.

AutoBridge may provide technology, verification, record-keeping, transaction-management and reporting services.

2. Who may use AutoBridge

You must be legally capable of entering into an agreement under Ethiopian law and must provide accurate information when creating and using your account.

The information you provide, including your name, phone number, TIN, business information, identification information and vehicle information, must be truthful and kept up to date.

Your account is personal to you. You are responsible for protecting your login credentials and for activities carried out through your account.

3. If you are buying a vehicle

Vehicle listings and descriptions are generally provided by sellers or their authorized representatives.

Before purchasing, you should inspect the vehicle, verify its ownership documents, confirm the identity and authority of the seller, and review the transaction documents.

AutoBridge does not guarantee the condition, ownership, mileage, history, price or legality of a vehicle unless AutoBridge expressly provides a specific verification service for that vehicle.

4. If you are selling a vehicle

You confirm that you own the vehicle or have legal authority to sell or advertise it.

You must provide accurate information about the vehicle, including ownership information, plate number, VIN/chassis number, condition, price and any known material dispute, restriction or debt where disclosure is legally required.

You must not list a vehicle using false documents, another person's identity, a false price, or misleading information.

Unless expressly provided otherwise, payment, handover and transfer of ownership remain the responsibility of the relevant parties.

5. What you upload

Documents, photographs and other content that you upload remain yours, subject to the rights necessary for AutoBridge to operate the service.

You authorize AutoBridge to store, display, process and use the information you provide for operating the platform, managing transactions, verification, security, compliance, reporting and other legitimate platform purposes.

You must not upload documents or content that you do not have the right to use.

6. Accounts, plans and payments

Subscription and service fees are shown on the applicable AutoBridge plan or service page.

Where a third-party payment provider is used, payment processing may be subject to that provider's terms.

AutoBridge does not claim ownership of funds merely because a payment is processed through a third-party payment service.

Fees are generally non-refundable after the relevant service period has started, except where applicable law requires otherwise.

AutoBridge may change its prices or plans. Where required, we will provide notice before a material price change takes effect.

7. Financing and insurance

Financing products may be offered by licensed banks, microfinance institutions or other authorized financial institutions.

Insurance products may be offered by licensed insurers.

AutoBridge is not a bank, microfinance institution, lender or insurer unless separately licensed and expressly identified as such.

Any financing calculator, estimated installment, interest calculation or affordability result shown by AutoBridge is informational only. The final terms issued by the relevant licensed financial institution or insurer control.

8. Vehicle and transaction verification

AutoBridge may provide verification tools or request documents relating to a vehicle, seller, buyer or transaction.

Verification by AutoBridge does not automatically constitute a government certification, tax clearance, ownership certificate, mechanical inspection certificate or guarantee of a transaction unless expressly identified as such.

Users remain responsible for the accuracy and legality of information and documents they provide.

9. Revenue, tax and transaction compliance

AutoBridge is designed to support transparent vehicle transactions and appropriate transaction record-keeping.

Where applicable law, a government requirement, a lawful request from the relevant Revenue authority, or an accepted AutoBridge transaction procedure requires information to be recorded, verified, reported or transmitted, the user agrees to provide the required information accurately and completely.

AutoBridge may maintain transaction records including, where applicable:

  • Taxpayer identification information;
  • TIN;
  • Business license information;
  • Seller and buyer information;
  • Vehicle plate number;
  • VIN/chassis number;
  • Engine number;
  • Ownership information;
  • Sale date;
  • Sale price;
  • Commission amount;
  • Transaction ID;
  • Payment or transaction records;
  • Electronic acceptance records; and
  • Other information required by applicable law.

AutoBridge may provide relevant information to the appropriate Ethiopian Revenue authority or other authorized government institution where legally permitted or required.

This section is intended to support compliance with applicable Ethiopian tax and electronic-transaction laws, including the applicable income-tax and tax-administration framework and electronic-signature framework.

10. Required AutoBridge transaction process

Where a transaction is expressly required by applicable law, government requirement, or an agreement accepted by the user to be processed, recorded, verified or reported through AutoBridge, the user agrees to follow that process.

The user must not intentionally bypass a required AutoBridge process for the purpose of:

  • Concealing a taxable transaction;
  • Avoiding a legal reporting obligation;
  • Avoiding applicable tax;
  • Providing a false sale price;
  • Hiding the identity of a party;
  • Submitting false information;
  • Using fraudulent documents; or
  • Otherwise violating Ethiopian law.

Ordinary communication between users outside AutoBridge is not, by itself, prohibited.

However, using off-platform communication or arrangements to deliberately conceal or bypass a transaction that is legally or contractually required to be processed through AutoBridge may result in suspension of the account and may expose the user to consequences under the applicable law or agreement.

11. Electronic acceptance and records

When you click “I Agree and Accept,” complete OTP verification, electronically sign, or otherwise confirm an agreement through AutoBridge, AutoBridge may record the acceptance as part of its electronic transaction record.

The record may include:

  • User ID;
  • Document ID;
  • Document version;
  • Date and time of acceptance;
  • OTP verification status;
  • Electronic signature or approval record;
  • Transaction ID;
  • Audit ID; and
  • Other information lawfully collected for security, verification and record-keeping.

The electronic-signature framework in Ethiopia has been amended by Proclamation No. 1358/2024. The legal effect of a particular electronic approval depends on the applicable law, the type of transaction and any specific requirements of the relevant authority.

12. What you may not do

You must not:

  • List a vehicle you are not legally authorized to sell;
  • Use another person's identity or account;
  • Upload false or fraudulent documents;
  • Submit false vehicle information;
  • Deliberately provide a false transaction price;
  • Conceal a transaction where disclosure is legally required;
  • Attempt to evade applicable tax obligations;
  • Harass, threaten or defraud another user;
  • Interfere with AutoBridge's systems;
  • Attempt unauthorized access;
  • Copy or extract the platform's catalogue in bulk without authorization; or
  • Use AutoBridge for an unlawful purpose.

13. Suspension and closing an account

AutoBridge may suspend, restrict or close an account where it has reasonable grounds to believe that the user:

  • Has violated these Terms;
  • Has provided false or fraudulent information;
  • Has violated applicable law;
  • Has attempted to evade a required transaction or reporting process;
  • Has created a security risk; or
  • Has otherwise misused the platform.

AutoBridge may also remove or restrict a listing that it reasonably believes is false, unlawful, fraudulent or otherwise violates these Terms.

You may request closure of your account at any time.

Records that AutoBridge is required or permitted to retain under applicable law may remain after account closure.

14. Availability

We work to keep AutoBridge available and secure, but we do not guarantee uninterrupted or error-free operation.

Features, services, integrations and requirements may change as the platform develops or as applicable laws and government requirements change.

15. Our responsibility

To the fullest extent permitted by Ethiopian law, AutoBridge is not responsible for losses arising solely from:

  • A transaction between users;
  • The condition, history or description of a vehicle supplied by a user;
  • A seller's or buyer's failure to perform their obligations;
  • A lender's financing decision;
  • An insurer's decision;
  • Information supplied falsely by a user; or
  • Events outside AutoBridge's reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under Ethiopian law.

16. Your information

AutoBridge collects and processes information needed to operate the platform, provide services, verify transactions, maintain security, keep records and comply with applicable legal obligations.

Where legally permitted, AutoBridge may share relevant information with authorized service providers, financial institutions, insurers, government authorities or other parties where necessary for the relevant service or required by law.

AutoBridge does not sell personal information as a commercial product.

17. Legal compliance and government authorities

AutoBridge does not represent that acceptance of these Terms automatically satisfies every requirement of the Ethiopian Revenue authority, licensing authority, court, bank, insurer or other government institution.

Where a government authority requires a particular form, filing, certificate, approval, tax payment, clearance, notarization or other procedure, that requirement remains applicable.

AutoBridge may provide technology and records to support compliance, but the user remains responsible for fulfilling the user's own legal obligations.

18. Changes to these Terms

We may update these Terms from time to time.

If a change is material, we will provide reasonable notice before the updated Terms take effect where required.

The new version will identify its effective or update date.

Where continued use constitutes acceptance under applicable law, continuing to use AutoBridge after the effective date means you accept the updated Terms.

19. Languages

These Terms may be published in English, Amharic and Afaan Oromoo.

Where translations are provided, AutoBridge will make reasonable efforts to ensure that the versions have the same meaning.

If the versions materially differ, the version identified as controlling in the applicable agreement or by applicable Ethiopian law will govern.

20. Governing law and disputes

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia.

The parties should first attempt to resolve disputes through good-faith communication.

If a dispute cannot be resolved, it may be submitted to a court or other competent dispute-resolution body with jurisdiction under Ethiopian law.
